These Terms of Service ("Terms") govern your access to and use of the Nychorium website and AI chat service (the "Service") operated by Nychorium ("we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Nychorium provides a private AI chat experience: you send messages and receive AI-generated responses, with optional features such as web search, vision, and document understanding depending on your plan. The Service is provided on an "as is" and "as available" basis.
2. Eligibility
The Service is intended for adults only. You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. By accessing or using the Service, you represent and warrant that you meet this requirement. You may not use the Service if you are barred under applicable law. We may suspend or terminate any account we reasonably believe belongs to a person under 18.
3. Accounts
Access is through email magic links. You are responsible for access to your email account and for activity under your Nychorium session. Notify us promptly at privacy@nychorium.com if you suspect unauthorized use.
4. Plans, billing, and refunds
We offer a free tier with usage limits and paid Pro access at the price shown at checkout. You may pay by card or by cryptocurrency:
- Card subscriptions are processed by Stripe and renew automatically for successive 30-day periods until you cancel. You authorize us and Stripe to charge your payment method on a recurring basis. You can cancel at any time from Settings → Manage subscription (the Stripe billing portal); cancellation stops future renewals, and your access continues through the end of the period already paid for.
- Cryptocurrency payments are processed by NOWPayments as a one-time 30-day purchase with no auto-renewal; you choose to purchase again when you want more time.
Prices and features are shown at checkout and may change with notice for future billing periods. Completed purchases are non-refundable and we do not pro-rate or refund unused time, except where a refund is required by applicable law. Deleting your account does not entitle you to a refund of remaining paid time. Please contact us at privacy@nychorium.com to resolve any billing issue before initiating a chargeback; fraudulent chargebacks may result in termination.
5. Acceptable use
You agree not to use the Service, or any output of the Service, to:
- Engage in or facilitate any illegal activity, or violate others' rights
- Generate, solicit, or distribute sexual or sexually explicit content, or any content that sexualizes minors in any form
- Seek or provide instructions for serious harm — weapons, explosives, illicit drug synthesis, or attacks on people or infrastructure — or content that promotes violence, self-harm, terrorism, or targeted harassment
- Create non-consensual intimate imagery, credible threats, or exploitative content
- Generate fraudulent, deceptive, defamatory, or impersonating content, or present AI output as human-authored where that is prohibited or misleading
- Attempt to probe, scrape, or overload our systems, or bypass safety or usage controls
- Reverse engineer or misuse the Service except as allowed by law
- Share access in a way that circumvents usage limits or payment
- Submit content you do not have the right to use, or that is malicious (malware, spam, etc.)
- Rely on the Service in any high-risk or safety-critical context (medical, legal, financial, employment, safety, or similar) without independent professional verification
You are solely responsible for your prompts, your use of outputs, and compliance with all laws that apply to you. We may suspend or terminate access — with or without notice — if we reasonably believe you have violated these Terms or pose a risk to the Service, to us, or to others, and we may report unlawful activity to the authorities.
6. AI output, assumption of risk, and your responsibility
Responses are generated by artificial intelligence using probabilistic models. Outputs may be incorrect, incomplete, outdated, fabricated, biased, offensive, or otherwise inappropriate, and may not reflect our views. We do not author, review, endorse, verify, or control the outputs, and we make no representation or warranty that any output is accurate, reliable, lawful, non-infringing, or fit for any purpose.
You acknowledge and agree that you use the Service and any outputs entirely at your own risk, and that you — not Nychorium — are solely responsible for how the Service and its outputs are used. In particular, you agree that:
- You are solely responsible for your prompts and for any use, interpretation, reliance on, modification, publication, or distribution of outputs, and for all consequences, including any impact on third parties.
- Outputs are not professional advice of any kind (legal, medical, financial, mental health, tax, safety, or otherwise) and are not a substitute for a qualified professional. You must independently verify any important information before relying or acting on it.
- You are responsible for ensuring that your use of the Service and any output complies with all laws, regulations, and third-party rights applicable to you and in your jurisdiction.
- You will not use the Service for any emergency, or for any decision or activity where inaccurate, inappropriate, or unavailable output could lead to death, personal injury, or significant financial, legal, environmental, or property harm.
To the maximum extent permitted by law, we are not responsible or liable for any action, inaction, decision, content, or outcome arising from your use of, or reliance on, the Service or its outputs, whether by you or by any third party.
7. Your content
You retain ownership of content you submit. You grant us and our service providers a limited license to process that content only as needed to operate the Service (for example, to send it to inference providers and return a response). Our Privacy Policy explains how we handle data, including that we do not store your chats as a server-side log.
8. Intellectual property
The Service, branding, and underlying software are owned by us or our licensors. These Terms do not grant you any right to our trademarks or code except as needed to use the Service normally.
9. Third-party services
The Service depends on third-party infrastructure, AI providers, payment processors, and email delivery. Your use may be subject to those parties' terms and policies where applicable. We are not responsible for third-party services we do not control.
10. Privacy
Our Privacy Policy is incorporated into these Terms. Please read it to understand our data practices.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYCHORIUM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY US DOLLARS ($50), EXCEPT WHERE SUCH LIMITS ARE NOT ALLOWED BY LAW.
13. Indemnity
You will defend, indemnify, and hold harmless Nychorium and its affiliates, officers, employees, agents, and suppliers from and against any and all claims, demands, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use or misuse of the Service or any output; (b) any prompt, content, or material you submit or generate using the Service; (c) your violation of these Terms or of any law, regulation, or third-party right; or (d) any act or decision taken by you or any third party in reliance on an output. This obligation survives termination of these Terms.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access with or without notice if you breach these Terms or if we discontinue the Service. Sections that by nature should survive (limitations, indemnity, governing law) will survive termination.
15. Changes
We may modify these Terms or the Service. Material changes will be posted on this page with an updated date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory local law applies. Disputes will be resolved in the state or federal courts located in Delaware, unless we agree otherwise in writing.
To the fullest extent permitted by law, any dispute will be resolved only on an individual basis, and you waive any right to bring or participate in a class, collective, consolidated, or representative action. Any claim you have relating to the Service must be filed within one (1) year after it arises, or it is permanently barred, to the extent allowed by law.
